At a glance

AgroGate is an AI-assisted, business-to-business workspace for physical commodity trade. It can turn messages and documents into structured market signals, price briefs, counterparty records, logistics requests, freight quote comparisons, and suggested actions. In these Terms, “AgroGate,” “we,” “us,” and “our” refer to the provider of the AgroGate service at agrogate.net. “Customer” means the organization using the service, and “you” means both the Customer and its authorized users.

Important business-use notice

AgroGate provides software and information tools. AgroGate is not a buyer, seller, broker, exchange, carrier, freight forwarder, insurer, customs agent, bank, investment adviser, law firm, or party to transactions between you and a counterparty. Your organization remains responsible for its commercial decisions, communications, contracts, compliance, and performance of every transaction.

Agreement and eligibility

By creating an account, accepting an invitation, connecting an integration, or using the service, you agree to these Terms. If you use AgroGate for an organization, you represent that you have authority to bind that organization. Do not use the service if you do not agree or lack that authority.

  • You must be at least 18 years old, or the age of legal majority where you live, and use AgroGate only for business or professional purposes.
  • An order form, master services agreement, data processing agreement, or other written agreement between AgroGate and the Customer may add to or modify these Terms. If documents conflict, the signed agreement or order form controls for that Customer.
  • Our Privacy Policy explains how we collect, use, disclose, retain, and delete personal information.

The AgroGate service

Depending on your plan and configuration, AgroGate may provide organization workspaces, communication-channel integrations, message and document processing, AI extraction and summaries, price and route analytics, market briefs, counterparty records, Copilot conversations, freight RFQ preparation and delivery, quote comparison, shipment tracking, foreign-exchange context, exports, and related workflows.

Features may be described as automated or autonomous, but the Customer controls which integrations are connected, who may use the workspace, and which external actions are approved or initiated. Any communication or action performed through a connected service at the Customer’s direction is the Customer’s communication or action, not an offer or commitment by AgroGate.

The service does not guarantee that a counterparty will reply, that a quote or opportunity remains available, that a shipment will arrive as estimated, or that a proposed transaction will be suitable, lawful, profitable, or completed.

Accounts and organizations

Account responsibilities

  • Provide accurate, current registration and organization information and keep it updated.
  • Protect login credentials, do not share individual accounts, and notify us promptly if you suspect unauthorized access.
  • Use reasonable security controls for devices, accounts, workspaces, and third-party services connected to AgroGate.
  • Remain responsible for activity performed through your account, except to the extent caused by AgroGate’s breach of these Terms.

Organization administration

Organization administrators may invite and remove members, assign administrator, member, or viewer roles, manage organization settings, and connect or disconnect third-party integrations. Customer is responsible for selecting administrators, reviewing access, and ensuring each authorized user follows these Terms. An organization administrator may control or access content and account information within that organization’s workspace.

Connected services and integrations

AgroGate may connect to third-party tools and services, including communication platforms, email and messaging accounts, cloud storage, CRM and ERP systems, document services, and market, logistics, or other data providers. Available integrations, permissions, and capabilities may change over time.

You may connect a third-party account, workspace, service, or data source only if you own it or have been authorized to grant AgroGate the requested access. You must also have the rights, notices, permissions, and lawful basis needed to process the content and third-party information made available through that integration.

When you enable an integration, you authorize AgroGate to access, retrieve, process, and store permitted content and, where the feature supports it, perform actions through the connected service at your direction. You are responsible for the integration’s configuration, the data and instructions made available, any recipients or external actions, required approvals, and compliance with applicable law.

Each provider’s own terms and policies continue to apply. Provider outages, permission changes, API limits, account restrictions, or policy decisions may interrupt an integration. Disconnecting stops future access through that connection but may not delete records already created in AgroGate; see the Privacy Policy for details and deletion options.

Customer content

“Customer Content” means data, messages, files, documents, prompts, contacts, instructions, and other material submitted to or retrieved by AgroGate for the Customer, together with customer-specific records generated from that material. As between AgroGate and Customer, Customer retains its rights in Customer Content.

Customer grants AgroGate and its service providers a worldwide, non-exclusive license to host, copy, transmit, parse, transform, display, and otherwise process Customer Content only as reasonably necessary to provide, secure, maintain, support, and troubleshoot the service, comply with law, and fulfill the Customer’s instructions. This license lasts only for as long as those purposes require, subject to the retention terms in the Privacy Policy and any written agreement.

Customer represents that it has all rights and permissions needed to provide Customer Content and instruct this processing. Customer must not submit material that is unlawful, infringes another person’s rights, contains malicious code, or is subject to restrictions incompatible with the service. Avoid submitting unnecessary passwords, payment-card data, government identifiers, health information, or other highly sensitive personal information.

AI and trade information

AgroGate uses AI and deterministic processing to extract, classify, summarize, match, and generate content. AI-generated results and third-party information can be incomplete, delayed, outdated, inappropriate, or incorrect—even when they appear confident.

  • Review original messages and documents before relying on extracted prices, quantities, origins, destinations, Incoterms, payment terms, shipment windows, contacts, or risk flags.
  • Verify market data, foreign-exchange rates, route information, shipment status, quotes, and counterparty details with an authoritative source before acting.
  • Review every externally sent message, RFQ, quote response, document, and suggested action appropriate to its commercial risk.

AgroGate output is not legal, financial, investment, tax, insurance, sanctions, customs, quality-control, or other professional advice. You remain responsible for independent due diligence and for decisions or contracts made using the service.

Acceptable use

You must not use AgroGate, or help another person use it, to:

  • break the law; evade sanctions, export controls, customs rules, anti-bribery requirements, or trade restrictions; facilitate fraud; or infringe intellectual property, privacy, confidentiality, publicity, or other rights;
  • send spam or unlawful marketing, impersonate another person, misrepresent authority, deceive recipients, or submit content that is defamatory, threatening, exploitative, or unlawful;
  • access another customer’s workspace or data, probe or bypass security, introduce malware, overload the service, or interfere with another user’s access;
  • scrape, copy, resell, sublicense, or provide the service to third parties except as expressly permitted by a written agreement;
  • reverse engineer or attempt to discover source code, models, or non-public systems, except where applicable law expressly permits it;
  • use connected data for advertising, surveillance, credit or lending decisions, or any purpose prohibited by the connected provider’s terms and policies; or
  • use the service for high-risk activities where an error or delay could reasonably cause death, personal injury, or severe physical or environmental damage.

You must comply with reasonable usage limits and security instructions. We may investigate suspected abuse and cooperate with providers or authorities where legally required.

Plans and fees

Some features, integrations, team access, capacity, or support may be limited to particular plans. The applicable order form or other written agreement states any fees, billing cycle, usage allowance, taxes, renewal terms, and payment obligations. Customer must pay undisputed charges when due and is responsible for applicable taxes, except taxes based on AgroGate’s net income.

We may enforce documented plan limits or offer a different plan when usage exceeds them. We will not add retroactive fees. Any pricing or renewal change applies as described in the governing order form or after reasonable advance notice where no order form controls.

Intellectual property

AgroGate and its licensors own the service, software, interfaces, designs, documentation, models, workflows, trademarks, and related intellectual property, excluding Customer Content. Subject to these Terms and payment of applicable fees, we grant Customer a limited, non-exclusive, non-transferable, non-sublicensable right for its authorized users to access and use the service during the applicable term.

If you provide suggestions or feedback, you grant AgroGate a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not identify you as its source without permission. Third-party components may be governed by separate open-source or commercial license terms.

Confidentiality and privacy

Each party may receive non-public business, technical, financial, or commercial information that a reasonable person would understand to be confidential. The receiving party will use it only to perform or exercise rights under the agreement, protect it using reasonable care, and disclose it only to people and service providers who need it for that purpose and are subject to confidentiality obligations.

Confidential information does not include information that the receiving party can show was already lawfully known without a duty of confidence, becomes public without breach, is received lawfully from another source, or is independently developed. A party may disclose information when required by law, after giving notice when legally permitted and reasonably practicable.

AgroGate processes personal information as explained in thePrivacy Policyand any applicable data processing agreement. Customer is responsible for its own notices, lawful basis, retention choices, and responses to people whose information it submits.

Availability and changes

We work to keep AgroGate available and secure, but unless a signed agreement includes a service level, we do not guarantee uninterrupted, error-free, or loss-free operation. Maintenance, security events, internet failures, provider outages, API changes, or events outside our reasonable control may affect availability.

We may update the service to improve it, address security or legal requirements, or respond to provider changes. We may modify or discontinue a material feature, and will give reasonable notice where practicable. Preview, beta, or evaluation features may be changed or withdrawn at any time and may be less reliable than generally available features.

Suspension and termination

These Terms apply while you access or use AgroGate. Customer may stop using the service and request account or organization closure by contacting us, subject to any term, notice, or payment commitments in an order form or other written agreement.

We may restrict or suspend access when reasonably necessary to address a security risk, protect the service or another customer, respond to a provider restriction or legal requirement, prevent suspected unlawful or abusive use, or address material breach or overdue undisputed fees. Where practicable, we will give notice and an opportunity to cure. We may terminate for an uncured material breach or as otherwise permitted by the governing written agreement.

After termination, access ends and connected integrations may be disabled. Data export, retention, and deletion are governed by the Privacy Policy and any applicable written agreement. Provisions that by their nature should survive—including payment obligations, intellectual property, confidentiality, disclaimers, liability, and general terms—will survive.

Disclaimers

To the maximum extent permitted by law, AgroGate is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the service or its output will be accurate, complete, current, secure, uninterrupted, or suitable for a particular transaction.

AgroGate is not responsible for the acts, omissions, content, availability, pricing, quality, solvency, authority, or performance of integration or data providers, carriers, forwarders, counterparties, or other third parties. References to or information about a third party do not constitute endorsement or verification.

Limitation of liability

To the maximum extent permitted by law, neither AgroGate nor its affiliates, licensors, or service providers will be liable for any indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, savings, business, opportunity, goodwill, reputation, or data, arising from or related to the service, even if advised that the loss was possible.

To the maximum extent permitted by law, AgroGate’s total aggregate liability arising from or related to the service and these Terms will not exceed the fees paid or payable by Customer for the affected service during the 12 months immediately before the event giving rise to the claim. This cap applies across all claims and theories of liability, but not to a liability that cannot lawfully be limited.

Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that applicable law does not permit a party to exclude or limit. Any signed agreement may set different liability allocations for that Customer.

General terms

Changes to these Terms

We may update these Terms to reflect service, legal, security, or business changes. We will post the revised version and update the effective date. For a material change, we will provide reasonable advance notice through the service or by email when practicable. Continued use after the change takes effect constitutes acceptance; if you do not agree, you must stop using the service.

Governing agreement and disputes

Before filing a formal claim, each party will try in good faith to resolve the dispute by written notice and reasonable discussion. The governing law, forum, and any required dispute process stated in a signed order form or other written agreement will apply. Where no such agreement specifies them, applicable law determines the governing law and competent forum.

Other provisions

Neither party is liable for delay caused by events outside its reasonable control, except payment obligations. Customer may not assign these Terms without our written consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets; AgroGate may assign them in connection with such a transaction or to an affiliate. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. These Terms and incorporated written agreements are the entire agreement concerning the service and do not create a partnership, agency, employment, or fiduciary relationship. There are no third-party beneficiaries.
